Official Rules.

1. Eligibility: The 2009 Win With Loacker Sweepstakes (“Sweepstakes”) is open to legal residents of the 50 United States and the District of Columbia who are 13 years of age or older as of date of entry. All entrants under 18 or who are considered minors in their state of residence must have a parent’s or legal guardian’s permission to participate in this Sweepstakes. Immediate family members (for the purposes of this Sweepstakes, defined as a parent, spouse, child or sibling, regardless of where they reside) and those living in the same households, whether or not related, of any officer, director, employee, representative or agent of A. Loacker USA, Inc. (“Sponsor”) or any of its parents, affiliates, subsidiaries, retailers, distributors, suppliers, and advertising and promotion agencies (collectively, the “Released Parties”) are not eligible to enter or win a prize. Void in Puerto Rico and where prohibited or restricted by law. Entrants must have access to the Internet with Flash Player capabilities and an active email account.

2. Promotion Period: Sweepstakes begins at 12:00:00 am (midnight) Eastern Time (“ET”) on August 1, 2009 and ends 11:59:59 pm ET on March 31, 2010 (“Promotion Period”). Sponsor’s computer is the official time keeping device for the Sweepstakes.

3. How to Enter: Entering the Sweepstakes is a three-step process:

a. First, during the Promotion Period, you may obtain a unique (randomly generated) code number (“Code”) in one of two ways: (i) by purchase, inside a sticker on specially marked packages of Loacker Quadratini 250g, UPCs 076580104919, 076580104964, 076580142898, 076580104940, 076580104858 and 076580104933; and Loacker Quadratini 220g, UPCs 076580104872, 076580104889 and 076580147848; while supplies last; or (ii) for free, by visiting www.win-with-loacker.com (the “Website”) and following the instructions provided to play the Game (as defined herein), register for the Sweepstakes (including, by providing a valid email address), and choose the option to generate a free Code (while supplies last). A free Code will be promptly emailed to the provided email address as part of the registration process, as further described in Step 2 below. You will need to retain your Code so that it may be submitted as part of the prize claim redemption process. Failure to submit your Code may result in disqualification or forfeiture of any prize.

b. Second, visit the Website during the Promotion Period and follow the instructions provided to (i) play the Loacker memory match game (the “Game”); (ii) choose the option to enter the Sweepstakes; and (iii) fully complete and submit the registration (which will include providing your name, telephone number, mailing address and email address and whether you wish to enter the Sweepstakes via free Code or via a purchased Code) to become a registered entrant (“Registered Entrant”). Then, Sponsor will immediately send you an email to the address provided and you must confirm eligibility and your email account by validation link as indicated in the confirmation email. If you choose to enter via the free Code, following your confirmation, Sponsor will send the free Code to the email address provided. Registered Entrants who select the option “remember my identification data” will have a cookie installed on their computer, so that they can be automatically identified when they connect again to the Website to enter the Sweepstakes on the same computer. (There will be a three (3) minute time limit to play the Game. If you have not completed the Game within that time limit, the Game will automatically end and you will be given the option of entering the Sweepstakes.)

c. Third, after registration (and confirmation), follow the prompts to submit your Code (a “game play”) to see if you have won a prize (as described below). Once you have completed Step 2 above and have become a Registered Entrant, you may return to the Website as often as desired, play the Game and enter up to nine (9) additional game plays in one day (12:00 am ET to 11:59 pm ET), provided you have not previously been notified that you are a potential winner. If you have been notified that you are a potential winner, you may return to the Website and play the Game as many times as desired, but you will not be permitted to enter another game play or enter the Sweepstakes again. (However, you may be permitted to enter and play the 2009 Loacker Memory Matching Game Contest, as described in the separate set of official rules available on the Website.) Additional game plays received from a Registered Entrant that has already been notified of being a potential winner (or more than ten (10) total game plays in one day from an eligible Registered Entrant) shall be void.

4. Selection of Winners: If you are a potential winner (prize award subject to verification of eligibility, winning entry, game play and compliance with the terms of these Official Rules), a message will appear on the Website immediately following submission of your game play, indicating that you are a potential winner, and indicating the prize that you have won. If you are not a winner, a message will appear on the Website indicating that you are not a winner. (However, Registered Entrants that have not been immediately selected as potential winners may be eligible for the Final Drawing – see Section 7.)

5. Prize Notification: Within approximately fourteen (14) days of Website notification that they are potential winners (or fourteen (14) days of the Final Drawing, as applicable), Sponsor will contact potential winners via the email address provided in the registration. Such potential winners may be required to respond to Sponsor (within a time-frame specified by Sponsor) via a validation link that may require the potential winners to provide the winning Code, confirm eligibility requirements and confirm information on the registration form. Sponsor shall mail the prize to the winners within approximately 60 days of Sponsor’s receipt of the confirmation from the potential winner. Such potential winners (or, if eligible minors, their parents or legal guardians) may also be required to complete, execute, and return an Affidavit of Eligibility, a Liability Release and (unless prohibited by law) a Publicity Release within a time period specified by Sponsor. Noncompliance with the above, with these Official Rules, the inability of Sponsor to contact a potential winner within a reasonable time period, the failure of a potential winner to respond to Sponsor’s notification email or a prize or prize notification being returned as non-deliverable, may result in disqualification.

6. Prizes/Odds: Total Approximate Retail Value (“ARV”) of all prizes = $38,625. There are 4 types of prizes available in the Sweepstakes:

a. an iPod Touch (16 GB) player – (15 (fifteen) will be available with an ARV of $300 each);

b. a set of a trolley bag and a backpack with the “Loacker” name – (two-hundred-fifty (250) sets will be available with an ARV of $19.50 each);

c. a set of a Loacker bag with 8 (eight) Loacker mugs (one-thousand (1000) sets will be available with an ARV of $11.70 each); AND

d. a set of a Loacker-marked USB stick, a Loacker-marked mouse pad and a Loacker-marked baseball cap (two-thousand (2000) sets will be available with an ARV of $8.78 each).

Other terms, conditions and restrictions may apply. The odds of winning a prize depend on the total number of eligible game plays received and the timing of the submitted game plays. Limit one (1) prize per person, per email address for the duration of the Promotion Period and Final Drawing. All costs and expenses associated with the acceptance and use of any prize not specified herein as being awarded as part of a prize, including, but not limited to, all federal, state and local taxes, if any, are winners’ sole responsibility. All prize details are at Sponsor’s sole discretion. By participating, entrants (and if eligible minors, their parents or legal guardians) agree to be bound by the terms of these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to this Sweepstakes. If a winner is an eligible minor, the prize will be awarded in the name of the parent/legal guardian of minor entrant whose game play is selected as the winner and such parent or legal guardian may be required to fulfill all requirements imposed on winners set forth herein. No transfer, assignment, cash redemption, or substitution of a prize except by Sponsor who reserves the right, to substitute a prize with one of comparable or greater value at its sole discretion. Sponsor is not responsible for the inability of any person to claim a prize.

7. Final Drawing: Registered Entrants who were not winners throughout the Promotion Period will be automatically entered into a final random drawing (“Final Drawing”) to take place on or about April 1, 2010. Odds of winning in Final Drawing depend on the number of non-winning Registered Entrants during the Promotion Period. Sponsor will contact potential winners of the Final Drawing via the email address provided in the registration pursuant to Section 5 above.

8. Release/Limitation on Liability: By participating, each entrant (and, if a minor, entrant’s parent or legal guardian) agrees: a) that Sponsor and its designees may use (unless prohibited by law), entrant’s name, city and state of residence, biographical information, photograph and/or likeness for advertising, trade and/or any other lawful purposes in any manner and in any and all venues or media now or hereafter known throughout the world in perpetuity, without further compensation, permission or notification; b) to release, discharge, indemnify and hold harmless the Released Parties from and against any claim, action, liability, loss, injury or damage to entrant or any other person or entity, including, without limitation, personal injury or death to entrant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of (i) the acceptance, possession, use or misuse of any prize, (ii) administration of the Sweepstakes, or (iii) participation in this Sweepstakes or any related activity; c) to waive all rights to claim or collect punitive, incidental, consequential or any other damages; d) that all causes of action relating to this Sweepstakes will be resolved individually without resort to any form of class action; e) that any and all claims, judgments, or awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees; and f) that New York law shall apply exclusively to the Sweepstakes and that any dispute with respect to the Sweepstakes shall be resolved in either the federal or state courts located in the State of New York.

9. General: In the event the number of winner notifications issued exceeds the number of prizes listed in these Official Rules due to computer, mechanical, seeding, or other errors, Sponsor reserves the right to conduct a random drawing from among the eligible, non-suspect and valid winning message prize claimants to award the listed number of prizes. Only the published number of prizes stated in these Official Rules will be awarded. Sponsor reserves the right to disqualify any person and void game plays and/or prize claims of any person who it believes has tampered with the entry process or any other component of this Sweepstakes, whose conduct or actions affect the administration, integrity, security, fairness or proper conduct of this Sweepstakes, or who is in violation of these Official Rules. Sponsor also reserves the right, in its sole discretion, to void suspect game plays or prize claims and/or to modify, cancel or suspend this Sweepstakes (or portion thereof) should virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Sweepstakes and, in the event the Sweepstakes is cancelled, at its discretion, randomly select potential prize winners for any unclaimed prizes from among all eligible non-suspect non-winning game plays received prior to event requiring such action. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

In addition, the use of script, macro or automated devices (or any other devices intended to automate any aspect of participation) to play is prohibited. If Sponsor, in its sole discretion, determines that an entrant has used an automated or similar device to play or is in violation of these Official Rules, all game plays and prize claims from that entrant or email address will be void. In the event of a dispute as to the identity of an entrant based on the email address submitted, entry will be awarded to the person named on the applicable registration form (regardless of whether that is the name of the authorized account holder of the email address from which said registration was submitted). Released Parties are not responsible for late, lost, stolen, incomplete, misdirected, delayed, garbled, inaccurate, undelivered or postage-due UPC numbers, mail, Code requests, entries or prize claims, or for telephonic, human or computer failures, problems or errors, interruptions in service due to system upgrades, repairs, modifications or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of Code requests, game plays or prize claims, the announcement of the prizes, or any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Sweepstakes, or for printing, typographical, human or other errors appearing in these Official Rules or other Sweepstakes-related materials. All decisions of the Sponsor related to the Sweepstakes are final and binding.

10. Winners List: The list of winners shall be available on the Website after April 15, 2010 for approximately 3-4 months thereafter.

3. The Game: The Contest involves playing a timed online memory match game (the “Game”) where the objective is to match cards showing Loacker-related products or information as quickly as you can. Prizes will be awarded for the fastest times (according to Sponsor’s official timer) in completing the Game in accordance with these Official Rules.

4. How to Enter: Entering the Contest is a four-step process:

a. First, visit www.win-with-loacker.com (the “Website”) during the Promotion Period and follow the instructions provided to play the Game. (There will be a three (3) minute time limit to play the Game. If you have not completed the Game within that time limit, the Game will automatically end and you will be given the option of entering the Contest.)

b. Second, upon completion of the Game, follow the instructions on the site and choose the option to enter the Contest;

c. Third, fully complete and submit the registration (which will include providing your name, telephone number, mailing address and email address) to become a registered entrant (“Registered Entrant”). Then, Sponsor will immediately send you an email to the address provided and you must confirm eligibility and your email account by return email or validation link as indicated in the confirmation email. Registered entrants who select the option “remember my identification data” will have a cookie installed on their computer, so that they can be automatically identified when they connect again to the Website to enter the Contest on the same computer.

d. Fourth, after registration (and confirmation), you will be directed to a screen showing the leader board revealing the top sixty-three (63) times (provided there are sufficient eligible entries) for the current Entry Period. If you have one of the top sixty-three (63) times for the current Entry Period, your first name and last initial may be shown on the leader board.

Once you have completed Step 3 above and have become a Registered Entrant, you may return to the Website as often as desired, play the Game and enter the Contest again, provided you have not placed in the top 63 fastest times at the close of any previous Entry Period. If you have placed in the top 63 fastest times at the close of any previous Entry Period, you may return to the Website and play the Game as many times as desired, but you will not be permitted to enter the Contest again. (However, you may be permitted to enter and play the 2009 Win With Loacker Sweepstakes, as described in the separate set of official rules available on the Website.) Additional attempts by Registered Entrants to enter the Contest that have already placed in the top 63 fastest times at the close of any previous Entry Period or been notified of being a potential winner shall be void.

Further, only a Registered Entrant’s fastest time in completing the Game will be entered into the Contest, regardless of how many times that Registered Entrant plays the Game and attempts to enter the Contest. For example purposes only, you may play the Game and enter the Contest five times between Monday and Tuesday, and achieve times of :30.000 seconds, 1 minute, :25.000 seconds, :50.000 seconds and 1:30.000 seconds. You would only be entered into the Contest for the :25:000 second time. Should you attempt to enter a time that is slower than a time you already entered, you will receive an error message and be unable to enter such additional time into the Contest.

5. Selection of Winners: At the end of each Entry Period, the final leader board of all 63 potential winners (i.e., those Registered Entrants who have entered the Contest with the 63 fastest times of completing the Game) for the Entry Period will be posted on the Website. Registered Entrants’ times will be calculated to the 1000ths of a second, according to Sponsor’s official timer. In the event of a tie, the higher place in the standings (the lower number) shall be awarded to the Registered Entrant who entered first. For example purposes only, should person A achieve a time of :25.555 seconds on August 15, 2009, and person B achieve that same exact time on August 16, 2009, person A will be awarded the better place in the standings over person B (e.g., person A could be in 2nd place, and person B could do no better than 3rd place.) Sponsor’s decisions on winners are subject to Sponsor’s sole discretion.

6. Prize Notification: Within approximately fourteen (14) days of the end of each Entry Period, Sponsor will contact potential winners via the email address provided in the registration. Such potential winners may be required to respond to Sponsor (within a time-frame specified by Sponsor) via a confirmation email that may require the potential winners to confirm eligibility requirements and confirm information on the registration form. Sponsor shall mail the prize to the winners within approximately 30 days of Sponsor’s receipt of the confirmation email from the potential winner. Such potential winners (or, if eligible minors, their parents or legal guardians) may also be required to complete, execute, and return an Affidavit of Eligibility, a Liability Release and (unless prohibited by law) a Publicity Release within a time period specified by Sponsor. Noncompliance with the above, with these Official Rules, the inability of Sponsor to contact a potential winner within a reasonable time period, the failure of a potential winner to respond to Sponsor’s notification email or a prize or prize notification being returned as non-deliverable, may result in disqualification. Should there be insufficient eligible entries, Sponsor reserves the right, in its sole discretion, to have fewer than the 63 winners per Entry Period.

7. Prizes: Total Approximate Retail Value (“ARV”) of all prizes = $5,726.00. The prizes per Entry Period are as follows:
